Ram Charan is a business adviser who has worked with executives and directors of many companies, including DuPont, GE, Novartis, Verizon, and RBS Group (Brazil). He has served on the Harvard Business School faculty, teaches in Wharton Executive Education, and serves on the board of Hindalco (India). He is the author of eighteen books.Dennis Carey is Vice Chairman of Korn/Ferry International. He has placed some of the most prominent chief executives and corporate directors in the United States, including those at 3M, American Express, Goldman Sachs, GSK, Humana, MCI, and Tyco International. This is his fourth book on CEO succession and corporate governance.Michael Useem is a professor of management and the director of the Center for Leadership and Change Management at the University of Pennsylvania’s Wharton School. Just when you thought you were knowledgeable in governance, along comes a 219-page poke-in-the-ribs, plus an incredible 40-page section with 18 checklists for board members, a bonus chapter on “Trends in Director Monitoring and Leading,” a director evaluation worksheet, and six golden pages on “Division of Responsibilities Between the Board Leader and the CEO.”Boards That Lead is a timely must-read for directors of both corporate boards and nonprofit boards. In the past six months (including this week) we’ve seen three high profile Christian nonprofit organizations on the Internet front page (and wishing they were not)—all three for different reasons—but the negative news was all prompted by board actions.Board service is not for the weak of heart.If you’re leading a board, on a board, or considering board service, you’ll want to read Chapter 3, “Recruit Directors Who Build Value.” The co-authors, including Ram Charan, author of “Owning Up: The 14 Questions Every Board Member Needs to Ask,” are big on questions. This chapter asks eight mission-critical questions of prospective board members, including: “Will the candidate be ready to stand tall and engage constructively when vital issues are on the line, the stakes and stress are high, and leadership of the company becomes even more essential?” “Root Out Dysfunction” is Chapter 4’s theme. “In our experience, as many as half of Fortune 500 companies have one or two dysfunctional directors.” The authors identify three types: • “Some see themselves as the smartest person in the room. • Others seek recognition. • Others are frustrated would-be CEOs.”They add, “Whatever their personal motives, they tend to micromanage or take boardroom discussions down dark alleys. We have seen a director interrupt the first five minutes of a CEO’s boardroom presentation and sour the mood of both board and management for the remainder of the day. The result is to impair, even negate, a board’s capacity to lead the firm. As in any group, a dysfunctional member can sabotage the entire team.”The authors recommend six personal qualities to look for in a board leader (often the board chair in nonprofit circles): 1) Executive experience, 2) Respect and confidence, 3) Collaboration and restraint, 4) Personal bonding, 5) Personal comfort, and 6) Resilience.Again—not for the weak-hearted. Board leaders (or board chairs) “can anticipate at least one major crisis during their tenures.” Under the “personal comfort” commentary, they share this wisdom: “Yet another factor defining the board leader is a sense of comfort in one’s own skin and place in life, with nothing yet to prove or still to achieve, most often the product of a long and successful career as a corporate leader in one’s own right—no coveting of the chief executive’s office, no longing for operational control.”Learning boards will discover vast insights and practical next steps: • Boards should ask new CEOs to draft a succession plan immediately (and the annual self-assessment should measure progress). • Caution! Leaders can change dramatically when they get the brass ring. • Nothing can make up for the wrong choice of CEO. • Ten principles for finding the right CEO (Warning: “Review outside consultants carefully to prevent conflicts of interest.”) • In risk management, why quantification alone is a false crutch. • The value of a one-pager with agenda/decision highlights sent before every meeting • The learned art of what to feed to the board • How to coach new board members to stay at the right “altitude” in board meetings • How to get maximum value from an advisory council or board (They quote Roger Kenny who says advisory boards are “like the Marines: They get you on the beach.”)And then this PowerPoint-worthy wisdom:“Execution is where management startsand the board stops.”Oh, my. An important contribution to how boards should function. Most boards don't see themselves as organizational leaders. They see themselves as monitors and guardians, except when they have to change the CEO. This book contributes to breaking that mindset. Boards lead certain functions, partner on others, and need to stay out of the "no-fly zones" reserved for management. But where, when, and how? Rich with many examples, stories, and detailed checklists, "Boards That Lead" provides the answers.The book is light on the multi-stakerholder model, the importance of culture including ethics and integrity, and how to break the cycles of short-termism and excessive CEO compensation, otherwise I would have rated it higher. Worth your time if you are serious about creating more effective boards.

As someone who does consulting on effective Board of Directors, I found this to be a very helpful book. I read a ton of books on this subject, and have also read many (if not all) of Ram Charan's books and I found this to be among the best. Clearly written, excellent information and ideas, things that I found useful and applicable – which you don't always find in every business book. If you work with a Board of Directors – or serve on one – this is a book you should read.

I highly recommend this book not only for board members and prospective board members but also for senior corporate executives and potential investors. The case studies (entertaining and often based on the authors' first hand experiences) provide valuable insights on topics such as "spotting, catching, or exiting a failing CEO", "recruiting directors who build value" and "staying out of the way". The authors' argue that today's boards have an increasingly important role as part of the leadership team in partnership with management in addition to their traditional governance role. But this book is far more than a set of best practices for the boards of America's largest companies. The authors' also provide an invaluable set of Director's Checklists (such as checklist 1: "Board Leadership Decisions - when to take charge, when to partner and when to stay out of the way", and checklist #10: "Is The Board Ready To Lead, Not Just Monitor, The Company". These checklists are thought provoking and invaluable.

Being on 4 company boards, I can relate to many of the issues and opportunities outlined in the book. The principles and practices presented both make the work of being a director more interesting and fulfilling, and give shareholders a way better " bang for the buck" from the board. It also reduces the naturally imperial tendencies of many CEO's, surrounded by their acolytes, and well paid advisors.

Well written in a typical Ram Charan style. I enjoyed reading it, and picked critical lessons as a board member. The insights on the latest challenges and skills sets for boards was helpful. This book reassures board about their fundamental mandate to lead. I have read many books of Ram, this is one of his good ones.

Chiang Ching-kuo, son and political heir of Generalissimo Chiang Kai-shek, was born in 1910, when Chinese women, nearly all illiterate, hobbled about on bound feet and men wore pigtails as symbols of subservience to the Manchu Dynasty. He was an actor in many of the events of the last century that shaped the history of China's struggles and achievements in the modern era: the surge of nationalism among Chinese youth, the grand appeal of Marxism-Leninism, the terrible battle against fascist Japan, and the long, destructive civil war between the Nationalists and the Communists. In 1949, he fled to Taiwan with his father and two million Nationalists. He led the brutal suppression of dissent on the island and was a major player in the cold, sometimes hot war between Communist China and America. By reacting to changing economic, social, and political dynamics on Taiwan, Sino-American rapprochement, Deng Xiaoping's sweeping reforms on the mainland, and other international events, he led Taiwan on a zigzag but ultimately successful transition from dictatorship to democracy.

Jay Taylor underscores the interaction of political developments on the mainland and in Taiwan and concludes that if China ever makes a similar transition, it will owe much to the Taiwan example and the Generalissimo's son.

Taiwan enjoys a booming economy and a lively, boisterous democracy. In this deeply detailed biography, Taylor maintains that Chiang Ching-kuo is largely responsible for both. Though historically still in the shadow of his famous father, Chiang Kai-shek, whose Nationalist party lost China to the Communists in 1949 and who then fled to Taiwan, the younger Chiang spent a life that is itself fascinating. Born in 1910, as China was disintegrating into anarchy, Chiang as a young man spent 12 years in the Soviet Union as a student and Soviet Party functionary. Returning to a China in chaos, he proved himself a capable administrator amid the otherwise corrupt Nationalists. In exile in Taiwan, he gained immense power, especially after the death of the elder Chiang in 1975. According to the author (a former Asia specialist with the U.S. Foreign Service), he used this power for bad and good. As head of numerous secret agencies, Chiang helped keep Taiwan a brutal dictatorship for 30 years. Yet he was prescient enough to draw into the government skilled personnel who laid the groundwork for the island's spectacular economic development, and pragmatic enough in the years before his death in 1988 to see that a transition to democracy was necessary and inevitable. Of special note is Taylor's account of how Chiang skillfully read and used the changing trends of the Cold War and the post-Cold War period to allow Taiwan to not only survive but prosper. Whether the good Chiang did outweigh the bad remains an open question, but he clearly was a leader of importance. This work will long remain his definitive biography, which means that this could remain in print indefinitely, enjoying small but steady sales. (Oct.)

Taylor, who once served in the U.S. Foreign Service, was asked by the semiofficial China Times Publishing Company in Taipei to write an independent, unrestricted biography of Chiang Ching-kuo, the son of and successor to Generalissimo Chiang Kai-shek (1887-1975). Chiang Ching-kuo witnessed the loss of the mainland to Mao's Communists, having returned to China in 1937 from a decade in the Soviet Union, but eventually he led the building of Taiwan into a thriving commercial society and feisty democracy. Taylor used published sources in English and Chinese but also had unprecedented access to political figures in Taiwan and the People's Republic. Although no biography could settle all the questions regarding this colorful, controversial, and powerful figure, Taylor's strong narrative deals with it in an informed and frank but sympathetic way, addressing such topics as CIA intervention, economic policy, and family affairs. About the Author
Garth S. Jowett is a professor of communications at the University of Houston. He obtained his PhD in history and communication from the University of Pennsylvania. He has served as the director for social research for the Canadian government's department of communication and has been a consultant to various international communication agencies. He has been widely published in the area of popular culture and the history of communication. His book, Film: The Democratic Art (1976), was a benchmark in film history. His other publications include, Movies as Mass Communication, Children and the Movies: Media Influence and the Payne Fund Studies, and Readings in Propaganda and Persuasion, co-edited with Victoria O'Donnell. He is on the boards of several communication and film journals.

Victoria O’Donnell is Professor Emerita and former director of the University Honors Program and Professor of Communication at Montana State University–Bozeman. She also taught a seminar in television criticism for the School of Film and Photography at Montana State University. Previously she was the chair of the Department of Speech Communication at Oregon State University and chair of the Department of Communication and Public Address at the University of North Texas. In 1988 she taught for the American Institute of Foreign Studies at the University of London. She received her PhD from the Pennsylvania State University. She has published articles and chapters in a wide range of journals and books on topics concerning persuasion, the social effects of media, women in film and television, British politics, Nazi propaganda, collective memory, cultural studies theory, and science fiction films of the 1950s. She is also the author (with June Kable) of Persuasion: An Interactive-Dependency Approach, Propaganda and Persuasion (with Garth Jowett), Readings in Propaganda and Persuasion: New and Classic Essays (co-edited with Garth Jowett), Television Criticism, and Speech Communication. She made a film, Women, War, and Work: Shaping Space for Productivity in the Shipyards During World War II, for PBS through KUSM Public Television at Montana State University. She has also written television scripts for environmental films and has done voice-overs for several PBS films. She served on editorial boards of several journals. The recipient of numerous research grants, honors, and teaching awards, including being awarded the Honor Professorship at North Texas State University and the Montana State University Alumni Association and Bozeman Chamber of Commerce Award of Excellence, she has been a Danforth Foundation Associate and a Summer Scholar of the National Endowment for the Humanities. She has taught in Germany and has been a visiting lecturer at universities in Denmark, Norway, Sweden, and Wales. She has also served as a private consultant to the U.S. government, a state senator, the tobacco litigation plaintiffs, and many American corporations. She is an active volunteer with Intermountain Therapy Animals, taking her Golden Retriever, Gabriel, to the elementary schools where the children read to the dog in the R.E.A.D. program. She writes children’s stories about Gabriel. She is currently writing a novel about Ireland.
